A commission, order, service or request (referred to as an “order" from here on in) shall be deemed accepted by us only once you have received written confirmation of our acceptance.
We may or may not be able to undertake an order and therefore FSL reserves the right to refuse your request for any reason we see fit, which may be an inability to meet the fundamental nature of the requirement. FSL is under no obligation to provide a detailed response as to why it may decide to refuse a order, although it will endeavour to openly provide as much information as possible.
Orders are subject to these FSL's Terms and Conditions of Sale and the associated agreement of requirements or Project Definition Document, whichever is deemed most relevant to the service being provided. The particulars of each order are captured and agreed in the requirements or project document that establishes a common starting point in which to commence work on the order. However, FSL will only bind its clients to such an agreement if it is unable to accommodate any reasonable post-agreement change requests.
The onus is on FSL to communicate any additional costs that may be incurred as a result of any oversight during the order or project definition stage or as a result of a change requested by the client.
Should the company fail to communicate any such costs in a timely fashion and prior to commercial invoicing then the client will not be obliged to reimburse FSL for such additional costs and by not doing so, this shall have no impact to the order agreement or these terms and conditions of sale.
These terms relate to FSL's orders and separate terms and conditions apply to FSL's business consultancy operations.
Flying-Spirits is a VAT registered business. In some cases quoted prices include VAT at the prevailing rate. Adjustments will have to be made to comply with any change in rates or other legally imposed changes in respect of VAT. In the case where FSL includes within its services one or more 3rd party fees, these fees are not subject to double taxation i.e. they are separated out for accounting purposes.
Where relevant, and unless otherwise agreed, orders are generally paid for in full in advance. For commissions, a minimum 50% deposit plus VAT and cleared funds is required for FSL to be able to commence professional services. Complete and final payment is required within 30 days of invoicing and acceptance - whichever is the earliest.
Upon a customer paying for one of Flying-Spirits' services, the paying customer enters into a binding contract whereby Flying-Spirits becomes authorised by the customer to act as an authorised representative and authorised agent of the customer in order to fulfil its duties in respect of the services being purchased and provided for and on behalf of the customer.
Placing an order with FSL and having received written acceptance by FSL constitutes a legally binding contract. You do however have the statutory right to cancel your order whereby you will forfeit any deposit placed or 50% of the total order value.
Should you decide to cancel a commission (if that is what you have purchased), you must notify us in writing by letter, email or fax as soon as possible and not less than 15 working days prior to planned delivery of the services. In the case of FSL's aircraft registration mark find and reservation services, refer to the separate Terms of Service.
